Der im 5. Buch des Umwandlungsgesetzes geregelte Formwechsel ist durch das Identitatsprinzip gekennzeichnet. Nach den Vorstellungen des Gesetzgebers wechselt der Rechtstrager allein sein Rechtskleid. Dennoch werden aufgrund der AEnderung der Haftungsverfassung des Rechtstragers die Interessen der Glaubiger tangiert. Die Arbeit setzt sich zunachst mit der Rechtsnatur des Formwechsels und dessen Wirkungen auseinander. Anschliessend werden die einzelnen Mechanismen des Umwandlungsgesetzes zum Glaubigerschutz im Allgemeinen und im Zusammenhang mit den unterschiedlichen Formen des Formwechsels einer intensiven Betrachtung unterzogen. Abschliessend wird auf besondere Fragen im Zusammenhang mit dem Formwechsel von aufgeloesten Gesellschaften eingegangen.
