This well-established and authoritative work, now in its seventh edition, is the most detailed reference source on the law relating to minority shareholders. As more and more legal emphasis is put on corporate governance, and as the influence of shareholder activism continues to grow, this book is the leading resource for practitioners requiring up-to-date, detailed information on the rights and remedies available to minority shareholders. The book provides detailed and incisive coverage of section 994 petitions, derivative claims, just and equitable winding-up petitions, and the foreign aspects of shareholder disputes, as well as shareholders' personal claims against companies and the rights conferred on them by the Companies Act 2006. The seventh edition examines all significant recent case law from the UK, including Sevilleja v Marex Financial Ltd on reflective loss, and Loveridge v Loveridge, Re Westshield Ltd, and UTB plc v Sheffield Utd on unfair prejudice. The work also considers case law from courts of other jurisdictions with analogous shareholder provisions, in particular Hong Kong, Singapore, and the Caribbean.

The year was 1863. The Civil War raged. In Book One of this growing Series of novels for 9 to 15-year-olds, Christopher Adams, almost 13, finds his life threatened at every turn as he tries to deliver an important message to a Union General - a message that could make the difference between victory and defeat for the Union Army. During his Journey from central Pennsylvania to southern Georgia, he must avoid and match wits with vicious highwaymen out to silence him, a raging storm at sea that puts the ship to the ultimate test, a ruthless pirate that captures him at sea, and a variety of other dangerous characters. In the end, he fearlessly winds his way through the cannon and rifle fire of Civil War battles, determined to deliver his message. He acquires a wonderful horse and makes several fascinating friends who help him along his way. A must read for young adventure lovers.

NATIONAL BEST SELLER IN HARDCOVER ADVENTURES BEYOND THE EDGE OF THE KNOWN UNIVERSE The truce between Cinnabar and the Alliance is holding, and the Republic of Cinnabar Navy is able to explore regions of the galaxy without the explorers being swept up in great power conflict. The Far Traveller is probing sponge space to open routes for Cinnabar traders--and for RCN warships if war breaks out again. But besides astrogation, the Far Traveller is to survey and catalog life forms on the worlds it touches. Harry Harper has just been posted to the Traveller. He's an RCN officer by convention, a scientist by training--and a member of one of leading aristocratic families on Cinnabar by birth. Lieutenant Rick Grenville would rather serve on a warship in the heart of battle, but peace and the whim of the Navy Board have put him on an exploration vessel instead. He finds that the dangers on the fringes of civilization are just as great as those from missiles and gunfire that he expected to face. As internal struggles cause the Alliance to relax its iron grip, regional forces are attempting to increase their own power--and they're not fussy about the means they use. Besides the biological answers that officials on Cinnabar expect the Far Traveller to find, the ship's Director of Science, Doctor Veil, has her own agenda: to learn more about the Archaic Spacefarers who roamed the universe tens of thousands of years before humans reached the stars. The crew of the Far Traveller is poised to clear more of the shadows away from the deep past than ever before in human history--if they survive. Adults and Young Adults: First book in The Jansen Family Detective Series. A dollop of history, a smattering of humor, a baffling mystery, a wild adventure, and a thought-provoking presentation of the philosophic conflicts which were tearing the world apart in the 1940s, so comparisons can be made with those manifest today. A grandfather and his grandsons - 10 and 15 - find themselves fleeing the city to escape some unknown threat in 1940 America. They arrive in a small, Arkansas, village, where they operate and live in a sawmill. The settlement is run by a religious fanatic, with whom they have disagreements and serious conflicts, which prompts discussions of authoritarian rule, prejudice and the Nazi threat to civilization. It becomes to move to another, more typical, village, where they operate a small hotel. The grandfather must return to the city on a dangerous mission and the boys find themselves in a life and death struggle culminating in a dangerous confrontation as they maneuver a 20-ton steam engine down the rails at 90 miles an hour on a certain collision course with another train.

Cinnabar's chief spymaster is a mother also--and her son is determined to search for treasure in the midst of a civil war. Who better to hold the boy's hand-and to take the blows directed at him-than Captain Daniel Leary, the Republic of Cinnabar Navy's troubleshooter, and his friend the cyberspy Adele Mundy? The only thing certain in the struggle for control of the mining planet Corcyra is that the rival parties are more dangerous to their own allies than to their opponents. Daniel and Adele face kidnappers, hijackers, pirates and a death squad-even before they can get to their real business of ending the war on Corcyra. Only with planetary peace can the boy they're escorting get on with hismission. The boy thinks the treasure he's looking for is a thousand years old. Daniel and Adele know that it's probably a dream- But if the treasure is real, it just might be tens of thousands of years older than anyone imagines, and incalculably more valuable!

They were the toughest fighters in the galaxy - until they got used up. The mission: redemption - or death. The troops were walking dead already, so there wasn't much of a downside. Major Arthur Farrell and the troops of Strike Force Company C41 had seen too much war with the alien Kalendru. They had too many screaming memories to be fit for combat again, but they were far too dangerous to themselves and others to be returned to civilian life. The bureaucracy that administered human affairs arranged a final mission with the same ruthless efficiency as it conducted the war against the Kalendru. C41 would guard a colony being sent to a hell planet. If the troops succeeded, they might be ready to return to human society. When the mission went horribly wrong, Art Farrell and his troops found their lives on the line as never before, protecting civilians to whom bureaucratic injustice was a new experience. And there was one more thing... A story of soldiers and civilians, of hope and, possibly, redemption.

This well-established and authoritative work is the most detailed reference source on the law relating to minority shareholders. As more and more legal emphasis is put on corporate governance, and as the influence of shareholder activism continues to grow, practitioners increasingly need a source of up-to-date and detailed information on the rights and remedies available to the minority. This is the only book to focus on this increasingly topical and important subject. This sixth edition features a new chapter on share purchase orders and valuation. There is expanded coverage of the relevant non-UK authorities, including cases from Hong Kong, Singapore, the British Virgin Islands, and Cayman. There is also more detailed analysis of shareholder agreements and related developments in contract law relevant to minority shareholders (e.g., arguments around implied terms and good faith). The new edition also covers significant developments in case law, such as Eclairs Group Ltd v JKX Oil & Gas plc.

Captain Daniel Leary with his friend—and spy—Officer Adele Mundy are sent to a quiet sector to carry out an easy task: helping the local admiral put down a coup before it takes place. But then the jealous admiral gets rid of them by sending them off on a wild goose chase to a sector where commerce is king and business is carried out by extortion and gunfights. With anarchy and rebellion in the air, a rogue intelligence officer plots the war that will destroy civilization and enlists the help of a brute whom even torturers couldn’t stomach. And, of course, it’s up to Leary and Mundy to put a stop to the madness.

"David Drake [is] the reason a lot of people got started reading military science fiction, because it's always a good idea to start with the best."--David Weber The jackals are moving in! The barbarians of the outer reaches intend to play both Cinnabar and Cinnabar’s sworn enemy, the totalitarian Alliance, against each other and bring both empires down like an enormous house of cards. The barbarian pirates have commandeered and hot-rodded starships that can outmanoeuvre even Captain Leary’s trusty RCN corvette. But speed and tech don’t count for everything. The Princess Cecile has the incomparable Daniel Leary and his trusted aide and friend Adele Mundy in command. Faced with such grit, bravery and intelligent misdirection, the pirates might find they’ve bitten off more than they can chew.

1947. Small town, Midwest. Fifteen-year-old Pete's father is the local, well-respected, prosecuting attorney by day and an alcohol induced abusive father by night. The boy has turned elsewhere for adult, male, companionship. He found it in a cabin in the woods in the form of a sage, reclusive, handyman, his father's age. For some, unspoken reason, his father disapproves. Pete sees his role at home as protecting his mother and handicapped sister, thinking if he weren't there, they would become his father's targets. As a school project, Pete researches the recent history of Mason Crossing - his small town - and discovers secrets that turn his world upside down. He presents his findings in a school report that will destroy his father. The novel is a no-holds-barred study of raw emotions, swaddled in hate, love, and the seemingly unresolvable angst of adolescence. A weak mother, a best friend, and a budding romance help Pete put his life into perspective. (To properly tell the story, the depiction of violence was necessary. Intended for adults and young adults).
