Die Internationalisierung der Aktionärsstruktur hat den Renditedruck auf Unternehmen erhöht und die Marktwertmaximierung des Eigenkapitals ("Shareholder Value") in den Fokus gerückt. Ziel dieser Dissertation ist es, die Transaktionskostentheorie als ökonomisches Fundament gemeinwohlorientierter Unternehmensführung heranzuziehen. Diese wird als Stakeholder-Ansatz definiert, bei dem die impliziten Ansprüche der Stakeholder – interpretiert als Quasirenten – berücksichtigt werden. Quasirenten resultieren aus unternehmensspezifischen Investitionen und sind aufgrund hoher Transaktionskosten vertraglich nicht vollständig absicherbar. Gemeinwohlorientierte Unternehmen berücksichtigen diese Ansprüche freiwillig in ihren Entscheidungen, was im Vergleich zur reinen Marktwertmaximierung des Eigenkapitals zu einer reduzierten Risikobereitschaft und erhöhten Investitionen in Forschung und Entwicklung führt.
