Ziel der handelsrechtlichen Konzernrechnungslegung ist es, dem Adressaten des Konzernabschlusses einen realistischen Blick auf den Konzern zu vermitteln. Hierzu wird unterstellt, dass das Mutterunternehmen und seine Tochterunternehmen ein einziges Unternehmen wären. Um dies zu erreichen werden bestimmte Vorgänge, die nur innerhalb des Konzerns stattfinden, eliminiert (zum Beispiel Umsätze, Forderungen und Verbindlichkeiten). Das Bilanzrichtlinie-Umsetzungsgesetz (BilRUG), mit der die EU-Richtlinie 2013/34/EU in deutsches Recht umgesetzt wird, änderte eine Vielzahl von Gesetzen und eine Vielzahl von Regelungen in der Rechnungslegung nach HGB. Es ist damit die größte Rechnungslegungs-Reform seit dem 2009 in Kraft getretenen Bilanzrechtsmodernisierungsgesetz (BilMoG). Karl Petersen, Christian Zwirner und Julia Busch geben einen kompakten und zugleich umfassenden Überblick über die handelsrechtlichen Normen zur Konzernrechnungslegung. Ausgehend von der Zielsetzung und den wesentlichen Elementen der Konzernrechnungslegung folgt das Werk der Struktur der praktischen Vorgehensweise zunächst von der Aufstellungspflicht über anwendbare Befreiungsmöglichkeiten bis hin zur Abgrenzung des Konsolidierungskreises. Auf der Grundlage der notwendigen Vereinheitlichungen und der für den Konzernabschluss einschlägigen Normen werden die Einbeziehungsalternativen der Vollkonsolidierung, Quotenkonsolidierung und Equity-Bewertung detailliert beschrieben und an konkreten Beispielen veranschaulicht. Neben den gesetzlichen Anforderungen werden jeweils auch die Vorgaben der geltenden DRS berücksichtigt. Der Bilanzanalyse und Bilanzpolitik im Konzernabschluss ist ebenso ein eigenes Kapitel gewidmet wie den Besonderheiten der Konzernrechnungslegung nach dem Publizitätsgesetz. Die Neuauflage berücksichtigt unter anderem die Neuerungen durch das Bilanzrichtlinie-Umsetzungsgesetz und die Deutschen Rechnungslegungs Standards DRS 21 bis DRS 24.
