Principles of Corporate Finance Law

Principles of Corporate Finance Law

Eilís Ferran; Elizabeth Howell; Felix Steffek

Corporate finance theory seeks to understand how incorporated firms address the financial constraints that affect their investment decisions. This is achieved by using varied financial instruments that seek to give holders different claims on the firm's assets. Recent scholarship in this area has highlighted the critical importance of the legal environment in explaining the choices that companies make about their capital structure. This book combines company law, capital markets law, and aspects of commercial and insolvency law to give readers a detailed understanding of the legal and regulatory issues relating to corporate finance. Informed by insights from theoretical and empirical work, the book examines from a legal perspective the key elements of corporate financing structures and capital markets in the UK. The authors' practical experience of transactions and regulatory issues ensures that thorough scholarly inquiry and critical reflection are complemented by an assured understanding of the interface between legal principles and rules as they are documented and in their actual operation. Key developments covered in this third edition include the post-Brexit adaptation of UK company law and capital market regulation, important new cases on parent company liability in tort, creditor-facing duties of directors, issuer and director liability for misleading statements to the market, alternatives to public market financing, and recent changes in the practice of debt finance such as the emergence of non-bank lenders.

The Search for Life on Mars

With a focus of the Perseverance rover mission, the "Quintessential account of one of humanity’s most intriguing quests" (Pail Halpern, Medium), "A remarkable, timely, and up-to-date account of Mars exploration" (Leonard David, "Space Insider," Space.com). From The War of the Worlds to The Martian and to the amazing photographs sent back by the robotic rovers Curiosity and Opportunity, Mars has excited our imaginations as the most likely other habitat for life in the solar system. Now the Red Planet is coming under scrutiny as never before. As new missions are scheduled to launch this year from the United States and China, and with the European Space Agency's ExoMars mission now scheduled for 2022, this book recounts in full the greatest scientific detective story ever. For the first time in forty years, the missions heading to Mars will look for signs of ancient life on the world next door. It is the latest chapter in an age-old quest that encompasses myth, false starts, red herrings, and bizarre coincidences—as well as triumphs and heartbreaking failures. This book, by two journalists with deep experience covering space exploration, is the definitive story of how life's discovery has eluded us to date, and how it will be found somewhere and sometime this century. The Search for Life on Mars is based on more than a hundred interviews with experts at NASA’s Jet Propulsion Laboratory and elsewhere, who share their insights and stories. While it looks back to the early Mars missions such as Viking 1 and 2, the book's focus is on the experiments and revelations from the most recent ones—including Curiosity, which continues to explore potentially habitable sites where water was once present, and the Mars Insight lander, which has recorded more than 450 marsquakes since its deployment in late 2018—as well as on the Perseverance and ExoMars rover missions ahead. And the book looks forward to the newest, most exciting frontier of all: the day, not too far away, when humans will land, make the Red Planet their home, and look for life directly.

Filled with exclusive interviews with the big names in the Canadian space agency, including Chris Hadfield and Marc Garneau, Elizabeth Howell showcases how Canada's space program is making it big in international space exploration. Space exploration is as much a story of leadership and teamwork as it is a story of exploration and discovery. Leadership Moments from NASA delves into the organizational culture, leadership styles, and insights of NASA senior executives spanning five decades of human spaceflight, to share the lessons they learned from critical moments where they took on seemingly insurmountable challenges. How did they prioritize? How did they resolve differences? How did they decide what to do when no one had done it before? How did they build highly competent teams? How did they build organizational resilience? How did they decide what to do when no one had done it before? How did they build highly competent teams? How did they build organizational resilience? How did they fight complacency and rebuild a culture of safety and innovation? Through interviews with famous leaders such as Apollo's Gene Kranz, the first Hubble Space Telescope Servicing Mission's Joe Rothenberg, "astronaut maker" George Abbey, and former NASA Administrator Dan Goldin, this book shows how NASA recovered from tragedy and adversity, and how it developed a culture of competency that continues to attract the best and brightest.

With interviews from Chris Hadfield and Marc Garneau, the tale of Canada's involvement in international space exploration from the 1960s to the present day Canada is a small but mighty power in space exploration. After providing the Canadarm robotic arm for the space shuttle in 1981, Canada received an invitation to start an astronaut program -- a program that quickly let its people accumulate skill and prestige. Canadian astronauts have since commanded the International Space Station, flown as co-pilots on spacecraft, and even held senior roles within NASA. This book traces how Canada grew from small beginnings into a major player in international space policy. You will hear about Canada's space program from the words of its astronauts, from Canadian celebrity Chris Hadfield to Liberal cabinet minister Marc Garneau to Governor General Julie Payette. You will experience the excitement and challenges of reporting on a rocket launch in Kazakhstan, as Canada sent its latest astronaut to space in preparation for possible moon missions in the 2020s. And you will learn from the people who work behind the scenes on Canadian space technology and space policy about why we are doing this -- and what we plan to do next.

Trauma and Dissociation Informed Psychotherapy
A new model of therapeutic action, one that heals trauma and dissociation, is overtaking the mental- health field. It is not just trauma, but the dissociation of the self, that causes emotional pain and difficulties in functioning. This book discusses how people are universally subject to trauma, what trauma is and how to understand and work with normative as well as extreme dissociation. In this new model, the client and the practitioner are both traumatised and flawed human beings who affect each other in the mutual process that promotes the healing of the client—psychotherapy. Elizabeth Howell explains the dissociative, relational and attachment reasons that people blame and punish themselves. She covers the difference between repression and dissociation, and how Freud’s exclusive focus on repression and the one-person fantasy Oedipal model impeded recognition of the serious consequences of external trauma, including child abuse. The book synthesises trauma/dissociation perspectives and addresses new structural models.
